James J. Crowley III÷Senior Vice President, Group Benefits

James J. Crowley III is responsible for U.S. Care's long-term care group sales and account management. Mr. Crowley works primarily with the senior management teams of corporate employer groups and public entities and government agencies. He is the Account Manager with overall responsibility for Miami-Dade (FL) Public School Systems, Agilent Technologies and the Public Employees' Retirement Association of Colorado. 

Prior to joining U.S. Care, Mr. Crowley spent 26 years with MetLife, where he held a variety of senior management positions in the sales, marketing and operations areas. In 1984, Mr. Crowley sold the first managed care plan÷a Preferred Provider Organization (PPO) plan÷to Dade County (FL) Public Schools. This was the first managed care plan sold by any carrier in the United States. 

Mr. Crowley was Sales Vice President for MetraHealth where he was responsible for combining the sales forces of the Travelers and MetLife organizations into one cohesive unit after a corporate merger and subsequent restructuring. 

Mr. Crowley held various positions in MetLife's Group Division, including Regional Vice President in San Francisco and Atlanta. He was Chairman of the Board of Met Life Healthcare Network of Florida and also Chairman of the Board of Met Life Healthcare Network of Georgia. 

As Regional Vice President in Atlanta, he had direct responsibility for all facets of Health Care Operations including Health Maintenance Organizations (HMOs). In addition, he had overall responsibility for 186 group customers with annual revenues of $900 million.

Albert J. Henry÷Director, U.S. Care, Inc.

Mr. Henry has been Chairman and CEO of Henry & Co. and of Henry Venture Funds I and II Limited since 1983. He is also presently Chairman, Board of Directors, IVonyx Group Services, Inc., and IgX Corp. and Vice Chairman, IVAC Corporation.

Mr. Henry was formerly Director, Chief Financial Officer and Chairman, Executive Committee, IMED Corporation, responsible for the operating performance of IMED from 1977 to 1982 as the company grew from $4 million in revenue to $115 million in 1982 with $40 million in pretax income. IMED was bought by Warner-Lambert for $465 million cash in 1982.

From 1968 to 1977, Mr. Henry was Chairman of Henry & Associates, New York, a Wall Street securities research and venture capital firm. Prior to 1968, he held various officer positions with First National City Bank (now Citicorp) in New York. He holds a B.S. in Civil and Mechanical Engineering from Bradley University and an MBA, Finance and Marketing, from Northwestern University. Current board memberships include IVAC Corporation, IVonyx Group Services, Inc., IgX Corp., Motion Analysis Corporation and Raytel Medical Corporation.

Matthew W. Kaplan÷President and Chief Executive Officer (CEO), U.S. Care, Inc.

Matthew W. Kaplan joined U.S. Care in February 1995 as Chief Marketing Officer and was responsible for strategic planning and marketing. In July 1996, Mr. Kaplan was promoted to President and Chief Executive Officer. 

From 1990 to 1994, Mr. Kaplan was with the World Health Organization (WHO) where he served as Consultant, Strategic Planning and Evaluation for the WHO Regional Office for Europe (EURO). Mr. Kaplan's focus was the Organization's changing role within the region. 

Mr. Kaplan also served as Project Manager of the trans-European telecommunications project ENS/CARE Telematics. The ENS/CARE project tied together 72 national administrations with responsibilities for public health, civil defense and food safety in 17 countries, and included the framework for the single drug admissions policy for the European Community. 

Mr. Kaplan also spent two years as Senior Consultant to the Commission of the European Communities (CEC) in the area of strategic planning and evaluation of various CEC funded Telematic Programmes

Mr. Kaplan was Vice Chairman and General Manager of the North Melbourne Giants Basketball Pty. Ltd., a professional sports franchise in Australia, where he was responsible for all business and player personnel matters. 

Mr. Kaplan held the position of Executive Vice President of U.S. Administrators (USA) from 1978 to 1989, where he was responsible for corporate planning and strategic marketing. At the time, USA was the nationÍs largest third party administrator, an innovator in quality assurance and was responsible for over $2.5 billion in medical claims. 

Mr. Kaplan has served on numerous corporate boards including, Charter National Bank, NA, Crown America Holdings, Inc., Merit Health Systems, Inc., U.S. Administrators, Inc., U.S. Care Holdings, Inc., Crown Reinsurance Company Limited (Cayman BWI), NBL Management Limited, NBL Enterprises Limited (Australia). Mr. Kaplan is a member of the Board of Trustees for the UCLA Center on Aging. Other not-for-profit directorships have included Cancervive and The Wellness Community.

Samuel X. Kaplan÷Founder and Chairman, U.S. Care, Inc.

Samuel X. Kaplan founded U.S. Care, Inc. in 1989 to design, develop and deliver innovative self-insured and fully-insured long-term care products, programs and services to groups and individuals. U.S. Care evolved from U.S. Administrators, Inc. (USA), the nation's largest third party administrator, which was established by Mr. Kaplan in 1962. One of the first care management companies in the United States, USA administered group health plans for Fortune 500 corporations, public employee and union benefit plans and insurance companies. USA's clients included Contel, General Electric, Goldman Sachs, Hewlett-Packard, Lever Brothers, Manville, RCA, Uniroyal and the UMWA Health and Retirement Funds. In 1989, USA merged with Alta Health Strategies, which later became First Health. 

A pioneer in care management and patient advocacy, Mr. Kaplan introduced many of the care management and utilization review techniques that are considered standard today. USA established its first preferred provider organization (PPO) in the early 1960s and its specialized care management programs in the early 1970s. In the early 1980s, USA began introducing long-term care programs to serve the specialized needs of the UMWA's elderly population. This successful experience led to the creation of U.S. Care, which focuses exclusively on long-term care. In the early 1990s, Mr. Kaplan established the Quality Standards Council to develop protocols for the credentialing and quality monitoring of long-term care providers. 

Mr. Kaplan is a director of The Center Theater Group, (Vice President) and serves a number of organizations, including the Fund for Psychoneuroimmunology (Vice President), UCLA Center on Aging (Founding Chairman), Los Angeles County Task Force on Elder Abuse and the Advisory Board to the College of Engineering at the University of Iowa

Formerly, he was a Director of the USC Andrus Gerontology Center and was named Honorary Director of the American Board of Quality Assurance and Utilization Review Physicians. He established a Graduate Research Fellowship in Healthcare Management at the University of South Florida College of Public Health to encourage talented students in this field. Mr. Kaplan co-sponsored and participated in the first joint U.S./Soviet conferences on "New Frontiers in Human Health" which focused on aging, chemical dependencies, and AIDS and the immune system. 

A noted speaker, Mr. Kaplan's long-term care expertise has been shared with industry leaders in a variety of forums, including the National Council on the Aging, the American Society on Aging and the Self-Insurance Institute of America. He has also published numerous articles on long-term care and has been featured in issues of Business Insurance, National Underwriter, Employee Benefits News and Long-Term Care News and Comment. Mr. Kaplan holds a BSME from the University of Iowa and he completed additional studies at Colorado State College and Loughborough Technical College, Loughborough, England.

Helaine Miller÷Senior Account Manager, U.S. Care, Inc.

Helaine Miller has been with U.S. Care since 1989. She is responsible for implementation and management of group accounts. She supervises the customer service and reporting functions for clients, interfacing with sales and marketing to ensure smooth new business implementation, enrollment seminar coordination and ongoing service to clients.

Prior to joining U.S. Care, Ms. Miller served as Assistant to the Chairman of the Board at U.S. Administrators, Inc., one of the nation's largest Third Party Administrators. She developed new business proposals, coordinated client site visits and special events functions, and conducted healthcare marketing research to identify new business prospects. She developed client profiles for the executive staff and worked with account management teams to ensure successful implementation and subsequent ongoing client service functions.

Prior to beginning her career in healthcare, Ms. Miller served as Administrative Assistant to the President at Planning Research Corporation, where she prepared long-range financial forecasts and organized annual executive meetings. Ms. Miller majored in Psychology at the University of California, Los Angeles.

Beverly T. Spadotto÷Senior Vice President, Marketing Communications, U.S. Care, Inc.

Beverly T. Spadotto joined U.S. Care in May, 1996. Ms. Spadotto is responsible for the development of all corporate communications, marketing collaterals, advertising and public relations for U.S. Care and its subsidiary companies. She also heads the CareCommunications Division, which specializes in the development and implementation of customized health care marketing and employee communications programs for employer groups, health care providers and health benefits insurers.

Prior to joining U.S. Care, Ms. Spadotto was the Manager of Marketing Response Information for Health Net, a managed care company with over 1.3 million members and $1.6 billion in annual revenue. She was responsible for the development of all new business proposals for Health Net, as well as all multi-state proposals for Health Net's parent company, Health Systems International, Inc. (HSI). She developed and introduced a centralized RFP database system linking HSI's nine-state network of managed care companies. She also managed the broker relations function, producing newsletters, overseeing contests and reorganizing the focus of the department.

Prior to Health Net, Ms. Spadotto was the Director of Communications for U.S. Administrators, Inc., the nation's largest Third Party Administrator, where she was responsible for advertising, media relations, marketing communications and the development of employer, employee and retiree communications programs and materials for the company's clients, including the UMWA Health and Retirement Funds.

Ms. Spadotto also held senior management positions at CIGNA Healthplan, PSN Publishing and the Rangefinder Publishing Company and served as public relations coordinator for D'Arcy-MacManus & Masius advertising agency. She received her Master of Arts degree in Journalism from the University of Southern California, and her Bachelor of Arts degree in Journalism from the George Washington University.

Susan R. Morris÷Senior Account Manager

Susan R. Morris joined U.S. Care in May, 1997. Ms. Morris is responsible for implementation and management of group accounts and has key responsibility for the Miami-Dade County Public Schools (FL) and Public Employees Retirement Association (PERA) of Colorado group accounts. She supervises the customer service and reporting functions for clients, interfacing with sales and marketing to ensure smooth new business implementation, enrollment seminar coordination and ongoing service to clients.

Ms. Morris's sales and account management experience includes 14 years in the insurance industry, six of those years in managed care, assuming increasingly more responsible sales and management positions at MetLife and United Healthcare. In addition to assuming direct responsibility for all aspects of several pivotal accounts, including three Fortune 100 companies with combined annual premiums in excess of $300 million, Ms. Morris also acted as enrollment coordinator for the Atlanta region, overseeing local enrollment meetings for multi-site customers. 

Prior to her tenure at U.S. Care, Ms. Morris completed a consulting project for a large, international real estate firm managing all facets of the implementation of a new benefit package. Her responsibilities for this project included the development of a comprehensive presentation to explain the new benefit options, arranging and conducting enrollment meetings and interfacing with internal departments to implement necessary system changes. 

Ms. Morris received her Bachelor of Science degree in Human Resources from the University of Delaware.

John K. Wagner÷Executive Vice President, Business Development

John K. Wagner joined U.S. Care in February, 1997. Mr. Wagner has responsibility for the ongoing expansion and enhancement of U.S. CareResources'® national network of long-term care providers. He works directly with U.S. Care's Quality Standards Council to define and update network quality service standards; develops and negotiates provider contracts; and supervises credentialing and recredentialing of providers and facilities in accordance with U.S. Care's LTC quality standards.

He is responsible for product development and enhancement for both group and individual LTC benefit plans, and has overall responsibility for national individual sales and western group sales.

Mr. Wagner brings extensive expertise in sales, new product development, marketing and implementation to the long-term care field. Prior to joining U.S. Care, Mr. Wagner was Vice President of Sales and Marketing for FHP, an international healthcare company with 1.9 million members and $4 billion in annual revenue. Previously, as Health Net's Director of Marketing Research and Product Development, he had responsibility for marketing research and product development and performed strategic analysis of new and existing product lines and potential acquisitions. Prior to his position at Health Net, Mr. Wagner was Senior Vice President of Marketing for Qual-Med, Inc. in Colorado Springs, Colorado.

Mr. Wagner holds an M.B.A. from Regis College and a B.S. in Business Administration from the University of Florida.
